Terms of Service

1. Acceptance of Terms

By accessing or using Where2Go’s mobile application, website, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must immediately cease all use of the Service.

2. Eligibility

  • You must be at least 13 years old and physically located in the United States.
  • By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration & Security

  • Optional Registration: You may browse without an account, but registration is required to submit reviews, upload media, and access certain features.
  • Accuracy & Updates: You agree to provide accurate, current, and complete information and to update it as needed.
  • Credentials Security: You are solely responsible for maintaining the confidentiality of your username and password and for all activities under your account.
  • Notification: You must notify us immediately of any unauthorized use or security breach.

4. Acceptable Use

You agree not to, and will not assist others to:

  • Submit fraudulent, deceptive, or abusive reviews or ratings.
  • Manipulate ratings or reviews, including vote-brigading, multi-account schemes, or phantom submissions.
  • Post unlawful, harassing, defamatory, obscene, or infringing content.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or extract source code from the Service.
  • Use automated scripts, bots, or scrapers to access or collect data without our prior written consent.

We reserve the right to remove content, suspend accounts, and take legal action against violators.

5. User-Submitted Content

  • Ownership: You retain all ownership rights in your content (reviews, photos, tags, comments).
  • License Grant: By submitting content, you grant Where2Go a perpetual, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, and display your content in connection with the Service and marketing thereof.
  • Responsibility: You are solely responsible for the legality, reliability, accuracy, and appropriateness of your submissions.
  • Moderation: We reserve the right (but have no obligation) to review, remove, or refuse any User-Submitted Content at our sole discretion.

6. Location-Based Features

  • Permission: By enabling location features, you grant us permission to access and use your device’s precise or approximate location.
  • Control: You may disable location services at any time via your device settings; however, some features may no longer function properly.

7. Intellectual Property

  • Our Rights: All proprietary rights in the Service (excluding User-Submitted Content) — including trademarks, logos, text, graphics, software, and architecture — are owned or licensed by Where2Go.
  • Your Rights: You may not copy, reproduce, modify, publish, distribute, use, or create derivative works of our intellectual property without our express prior written permission.

8. Third-Party Links & Services

  • The Service may contain links to third-party websites, applications, or services.
  • We do not control or endorse such third parties and are not responsible for their content, privacy policies, or practices.
  • Your dealings with third parties are solely between you and such third party.

9. Fees, Subscriptions & Payments

  • Free Service: The core Service is provided at no charge.
  • Paid Features: We may introduce paid features or subscriptions in the future. If you opt in, you agree to pay all fees in accordance with the pricing and payment terms displayed.
  • Billing: Payments are processed through a third-party gateway; you must provide valid payment information.
  • Refunds: All fees are non-refundable unless otherwise required by law or expressly stated.

10. Disclaimers

  • As-Is: The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
  • No Guarantees: We do not warrant that the Service will meet your requirements, be error-free, secure, or uninterrupted.
  • Accuracy of Information: We do not guarantee the accuracy, reliability, completeness, or usefulness of any User-Submitted Content or third-party data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Where2Go, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR ACCESS OR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, IN THE TWELVE (12) MONTHS PRIOR.

12. Indemnification

You agree to defend, indemnify, and hold harmless Where2Go and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your breach of these Terms;
  • Your User-Submitted Content;
  • Your violation of any law or the rights of a third party.

13. Termination

  • By Us: We may suspend or terminate your access at any time, without notice or liability, for any reason, including violation of these Terms.
  • By You: You may discontinue use at any time.
  • Effect: Upon termination, all licenses and rights granted to you will immediately cease and you must delete all copies of any portion of the Service in your possession.

14. Changes to the Service & Terms

  • We may modify or discontinue the Service (or any part) at any time, with or without notice.
  • We may revise these Terms from time to time. Material changes will be communicated via in-app notification or email at least fourteen (14) days prior to taking effect.
  • Continued use after the effective date of the revised Terms constitutes your acceptance.

15. Dispute Resolution

  • Informal Negotiation: If a dispute arises, you agree to first contact us at legal@where2go.fyi and attempt to resolve it informally.
  • Binding Arbitration: If unresolved within thirty (30) days, the dispute will be finally resolved by binding arbitration in Cincinnati, Ohio, under the American Arbitration Association’s Consumer Rules. Judgment on the award may be entered in any court of competent jurisdiction.
  • Exception: Either party may seek injunctive or equitable relief in state or federal court for intellectual property or privacy-related disputes.

16. Governing Law & Jurisdiction

These Terms and any disputes arising out of or relating to them are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law principles. Exclusive venue and jurisdiction shall be the state and federal courts located in Hamilton County, Ohio.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

18. Waiver

No waiver of any term shall be deemed a waiver of any other term, nor shall a waiver constitute a continuing waiver.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms to any affiliate or successor.

20. Force Majeure

We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, acts of government, cybersecurity incidents, or labor disputes.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Where2Go regarding the Service, superseding all prior or contemporaneous agreements.
